1. Definitions

2. Acceptance of Terms

By accessing this website or engaging mynovarix for services, you confirm that you are of legal age to enter into binding agreements under Malaysian law (18 years or older), that you have the authority to bind the organisation you represent (if applicable), and that you agree to be bound by these Terms and Conditions.

3. Service Description

mynovarix provides AI consulting and implementation services in Malaysia, including anomaly detection system design, speech recognition integration, and AI strategy facilitation. Services are provided on a project basis with terms defined in individual Statements of Work. mynovarix reserves the right to decline engagements at its discretion.

4. Engagement Process

Each engagement is subject to a signed Statement of Work (SOW) that defines deliverables, timelines, acceptance criteria, and payment terms. No engagement commences until the SOW is signed by both parties. The fixed fees published on this website are indicative; final pricing is confirmed in the SOW after a scoping conversation.

5. User Responsibilities

You agree to:

6. Payment Terms

Fees are denominated in Malaysian Ringgit (RM) as stated in the SOW. Payment schedules are defined per engagement (typically 50% on commencement, 50% on completion or milestone basis). Invoices are due within 30 days of issue. Late payments may attract interest at 1.5% per month on the outstanding balance.

7. Intellectual Property

7.1 Pre-existing IP

Each party retains ownership of intellectual property it holds prior to the engagement. mynovarix's proprietary methodologies, frameworks, and tools remain the property of mynovarix.

7.2 Deliverables

Upon receipt of full payment, mynovarix assigns to the client ownership of the specific deliverables produced for that engagement as defined in the SOW. mynovarix retains the right to use general knowledge and expertise gained during engagements in future work.

7.3 Website Content

All content on this website is the property of mynovarix. You may not reproduce, republish, or redistribute it without written permission.

8. Confidentiality

Both parties agree to maintain the confidentiality of the other party's non-public business information encountered during an engagement. This obligation survives termination of the engagement for a period of three years. Confidentiality obligations do not apply to information that is publicly available or independently developed.

9. Data Protection

mynovarix handles personal data in accordance with Malaysia's Personal Data Protection Act 2010 (PDPA). Details of data handling practices are described in our Privacy Policy.

10. Disclaimers

This website and its content are provided on an "as is" basis. mynovarix makes no representations about the completeness or accuracy of information on this site. AI systems involve inherent uncertainty and mynovarix does not represent that any deployed system will be free from errors or will produce specific outcomes. Results described in case studies reflect specific client contexts and are not indicative of results in other engagements.

11. Limitation of Liability

To the maximum extent permitted by Malaysian law, mynovarix's total liability under any engagement shall not exceed the total fees paid by the client for that specific engagement. mynovarix shall not be liable for indirect, consequential, or incidental damages arising from the use of our services or this website.

12. Termination

Either party may terminate an engagement by written notice if the other party materially breaches the SOW and fails to remedy that breach within 14 days of written notice. Upon termination, the client is responsible for fees corresponding to work completed to the date of termination. mynovarix will provide documentation of work completed to that point.

13. Dispute Resolution

In the event of a dispute, the parties agree to first attempt resolution through good-faith discussion within 30 days of written notice of the dispute. If unresolved, disputes shall be subject to the jurisdiction of the courts of Malaysia, with Kuala Lumpur as the governing jurisdiction. These Terms are governed by the laws of Malaysia.

14. General Provisions

These Terms, together with the applicable SOW, constitute the entire agreement between the parties for the relevant engagement. If any provision is found unenforceable, the remainder of these Terms continues in effect. Failure to enforce any provision does not constitute a waiver of that provision.

15. Changes to These Terms

We may update these Terms from time to time. Material updates will be reflected in the "Last Updated" date above. Continued use of our website or services constitutes acceptance of the current Terms.
